Terms of Service

1. Agreement to terms

By creating an account or using the Prajnova platform at prajnova.com and its associated web applications (collectively, the "Platform"), you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, do not access or use the Platform.

2. About Prajnova

Prajnova ("Prajnova," "we," "our," or "us") is a Continuous Health Intelligence company. The Platform brings together your personal health profile, lab results, health device data, and AI-powered analysis to give you a complete and continuous picture of your health.

3. Critical medical disclaimer

Prajnova is NOT a medical provider, healthcare provider, hospital, clinic, or medical practice of any kind.

Prajnova does NOT provide medical advice, medical diagnosis, medical treatment, or medical services of any kind.

The Platform and Nova AI are designed to provide general health information and educational content based on data you provide. This information:

• Is not a substitute for professional medical advice, diagnosis, or treatment
• Should never be used to diagnose a medical condition
• Should never be used to start, stop, or change any medication or treatment
• Should never delay or replace seeking emergency medical care
• May contain errors, omissions, or outdated information

Always seek the advice of a qualified physician, licensed healthcare provider, or other qualified health professional with any questions you may have regarding a medical condition, symptoms, medications, or treatment plans.

If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. Do not use Prajnova in emergency situations.

By using the Platform, you expressly acknowledge and agree that Prajnova bears no liability for any health decisions you make based on information obtained through the Platform.

4. Eligibility

To use Prajnova, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Platform under applicable law
• Provide accurate and complete registration information

5. Account registration and security

5.1 Account creation

You must create an account with a valid email address. You are responsible for providing accurate information and keeping it current.

5.2 Email verification

A verified email address is required for full Platform access. Unverified accounts may have restricted functionality.

5.3 Account security

You are solely responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@prajnova.com

We recommend using a strong, unique password and enabling any available security features.

5.4 One account per user

You may not create more than one account. Accounts are non-transferable.

6. Description of services

Prajnova provides AI-powered health information using your personal health profile, uploaded lab reports and medical documents, and data from third-party health devices and platforms that you authorize. Features may include AI-assisted conversations about your health, AI analysis of uploaded documents, sync of data from connected health platforms, storage and management of your health profile, visualization of your health metrics and trends, and additional functionality we may introduce over time. Specific features and their behavior may change at our discretion.

7. Acceptable use

7.1 Permitted use

You may use Prajnova solely for your own personal, non-commercial health information and wellness purposes.

7.2 Prohibited conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Upload lab reports, documents, or information belonging to another person without their explicit written consent
• Attempt to circumvent authentication, access controls, or security features
• Reverse-engineer, decompile, or disassemble any part of the Platform
• Use automated tools, bots, or scrapers to access the Platform
• Introduce malware, viruses, or malicious code
• Use Nova AI to generate harmful, deceptive, or illegal content
• Attempt to extract or reproduce the Platform's AI models or proprietary algorithms
• Use the Platform to provide health advice to others for commercial gain
• Impersonate any person or entity

8. Health data and integrations

8.1 Your data

You retain ownership of all health data, lab reports, and documents you provide to Prajnova. By uploading data, you grant Prajnova a limited, non-exclusive license to store, process, and analyze your data solely for the purpose of providing the Platform's services to you.

Prajnova is operated from the United States, and all user data — for every user, regardless of where they access the Platform from — is stored and processed in U.S. data centers. By creating an account or using the Platform from outside the United States, including from the European Economic Area, the United Kingdom, Asia, India, Australia, or any other region, you acknowledge and explicitly consent to the cross-border transfer of your personal and health data to the United States for storage and processing. See Section 4.1, Section 4.6, and Section 8.9 of our Privacy Policy for details and the applicable legal transfer mechanisms.

8.2 Accuracy of data

You are responsible for the accuracy of data you enter into your Health Profile and documents you upload. Prajnova's AI analysis is only as accurate as the data you provide.

8.3 Third-party integrations

When you connect a third-party health platform:

• You authorize Prajnova to access data from that platform on your behalf
• You represent that you have the right to share that data with us
• The third-party platform's own terms of service and privacy policy govern your relationship with them
• Prajnova is not responsible for the accuracy of data provided by third-party integrations
• You may disconnect any integration at any time from the Integrations page

8.4 Lab report uploads

You represent that uploaded documents are your own medical records or that you have explicit authorization from the subject to upload and analyze them. AI analysis of lab reports is for informational purposes only and must be interpreted in consultation with a qualified healthcare provider.

9. AI services — limitations and acknowledgments

9.1 Nature of AI responses

Nova AI responses are generated by state-of-the-art large language models from frontier AI service providers. You acknowledge that these responses may be inaccurate, incomplete, outdated, or plausible-sounding but wrong; that the AI does not have a doctor-patient relationship with you; and that responses are not reviewed by licensed medical professionals before delivery.

9.2 No guarantee of availability

We do not guarantee that AI services will be available at all times. Service interruptions may occur, and we cannot guarantee zero downtime.

9.3 Model changes

We may change, upgrade, or replace the AI models used to power Nova AI at any time without notice.

10. Intellectual property

10.1 Prajnova's intellectual property

The Platform, including its software, design, branding, AI systems, and all content created by Prajnova, is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

10.2 Your content

You retain all intellectual property rights in the data and documents you upload. You grant Prajnova a limited license to process this content solely to provide services to you.

11. Fees and payment

Prajnova currently provides access to the Platform at no charge. Pricing, subscription plans, and payment terms will be clearly posted on the Platform before any paid features are introduced. We reserve the right to introduce fees with at least 30 days' notice to existing users.

12. Termination

12.1 By you

You may close your account at any time from the Settings page or by contacting support@prajnova.com. Account closure initiates permanent deletion of your data as described in our Privacy Policy.

12.2 By Prajnova

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or abusive behavior, create legal or regulatory risk for Prajnova, or fail to pay applicable fees. We will provide notice of termination where reasonably practicable.

12.3 Effect of termination

Upon termination, your right to use the Platform ceases immediately. Sections 3, 10, 13, 14, and 15 survive termination indefinitely.

13. Disclaimers of warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAJNOVA EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT
• WARRANTIES THAT THE PLATFORM WILL MEET YOUR SPECIFIC HEALTH OR MEDICAL NEEDS

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAJNOVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of data, loss of profits, or loss of business opportunity
• Any health outcome, medical decision, or physical harm resulting from reliance on information provided by the Platform or Nova AI
• Any inaccuracy in AI-generated lab report analysis
• Any unauthorized access to your account or data due to your failure to maintain account security

In no event shall Prajnova's total liability to you exceed the greater of (a) the amount you paid to Prajnova in the 12 months preceding the claim or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Prajnova and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform in violation of these Terms
• Your violation of any applicable law or regulation
• Any health decision you make based on information from the Platform
• Any data you upload that infringes a third party's rights

16. Governing law and dispute resolution

16.1 Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Informal resolution

Before initiating any formal dispute, you agree to contact us at legal@prajnova.com and attempt to resolve the dispute informally for at least 30 days.

16.3 Arbitration

If informal resolution fails, disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive your right to a jury trial and to participate in class action litigation.

16.4 Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

17. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email and a prominent Platform notice at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree with the changes, you may delete your account before the effective date.

18. Miscellaneous

• Entire Agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Prajnova.
• Severability — If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver — Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment — You may not assign your rights under these Terms. Prajnova may assign its rights in connection with a merger, acquisition, or sale of assets.
• Force Majeure — Prajnova is not liable for delays or failures caused by circumstances beyond its reasonable control.
